# Brand Assets License

## 1. Scope
This Brand Assets License applies only to the files in the public/brand-assets/ directory and to any other material expressly identified by Polaris Office Corp. as a brand asset (collectively, the Brand Assets).
Brand Assets include, without limitation, logos, logomarks, wordmarks, trademarks, service marks, trade names, product names, icons, brand graphics, colour combinations, visual identity elements, and related design materials of Polaris Office Corp. and its affiliates.
For clarity, the Brand Assets are not licensed under the Apache License, Version 2.0, even if they are included in the same repository, distribution, sample, or documentation as materials licensed under the Apache License, Version 2.0.
## 2. Ownership and Reservation of Rights
All right, title, and interest in and to the Brand Assets, including all copyright, trademark, design, goodwill, and other intellectual-property rights, are owned by Polaris Office Corp. or its licensors.
No rights are granted except for the limited rights expressly stated in this Brand Assets License. All rights not expressly granted are reserved by Polaris Office Corp.
## 3. No Implied License
Nothing in this repository, the Apache License, Version 2.0, this Brand Assets License, or any related documentation grants any express or implied license to use the Brand Assets, except as expressly authorized in writing by Polaris Office Corp.
In particular, no right is granted to use any Brand Asset as a trademark, service mark, trade name, product name, domain name, social-media identifier, company name, or other source identifier.
## 4. Permitted Use
You may use a Brand Asset only if all of the following conditions are satisfied:
- Polaris Office Corp. has expressly authorized the use in a separate written agreement, written approval, or applicable published Polaris Office Trademark and Brand Guidelines;
- your use strictly complies with the scope, duration, territory, media, format, and other conditions of that authorization;
- you do not modify, distort, animate, recolour, crop, combine, or create derivative works from the Brand Asset unless the authorization expressly permits it;
- you do not use the Brand Asset in a manner that is misleading, deceptive, derogatory, unlawful, or likely to damage the reputation or goodwill of Polaris Office Corp. or its affiliates; and
- you do not use the Brand Asset in a manner that suggests sponsorship, endorsement, affiliation, certification, approval, or other commercial relationship with Polaris Office Corp. or its affiliates unless such relationship exists and has been expressly authorized.
## 5. Prohibited Use
Except as expressly permitted under Section 4, you may not, directly or indirectly:
- copy, reproduce, download for reuse, modify, adapt, translate, animate, create derivative works from, distribute, publish, display, perform, sell, license, sublicense, assign, transfer, or otherwise exploit any Brand Asset;
- use any Brand Asset in or in connection with a product, service, software package, website, application, domain name, social-media account, marketing material, advertisement, merchandise, token, or other commercial or non-commercial offering;
- remove, obscure, alter, or falsify any proprietary-rights notice associated with a Brand Asset;
- use a Brand Asset or a confusingly similar mark in a way that is likely to cause confusion as to source, affiliation, sponsorship, endorsement, approval, or origin; or
- register, apply to register, or assist another person in registering a trademark, service mark, trade name, domain name, company name, design, or other right that incorporates or is confusingly similar to a Brand Asset.
## 6. Attribution and Notices
Where Polaris Office Corp. expressly permits use of a Brand Asset, you must retain all proprietary notices and provide any attribution required by Polaris Office Corp. in the applicable written authorization or Brand Guidelines.
## 7. No Warranty
THE BRAND ASSETS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Polaris Office Corp. DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND AVAILABILITY.
## 8. Termination
Any permission to use the Brand Assets automatically terminates immediately if you breach this Brand Assets License, the applicable Brand Guidelines, or a separate written authorization from Polaris Office Corp. Upon termination, you must immediately cease all use of the Brand Assets and, upon request, delete or destroy copies in your possession or control, except to the extent retention is required by applicable law.
## 9. No Waiver; Remedies
Failure by Polaris Office Corp. to enforce any provision of this Brand Assets License is not a waiver of its right to do so later. Unauthorized use of the Brand Assets may violate applicable copyright, trademark, unfair competition, and other laws. Polaris Office Corp. reserves all rights and remedies available under applicable law and equity.
